1. About these Terms

These Terms of Service (“Terms”) govern your access to and use of TPT Electrician ERP (“the Service”), operated by TPT Solutions Ltd (“we”, “us”, “our”), a company incorporated in New Zealand. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

TPT Electrician ERP is a cloud-based business management platform designed for electrical contractors. It includes tools for job management, quoting, invoicing, timesheets, expense tracking, inventory, payroll export, and accounting summaries. We may update, modify or discontinue features at any time. We will give reasonable notice of material changes where practical.

3. Accounts and Access

You must be at least 18 years old and have authority to bind any business you represent.
You are responsible for keeping your login credentials secure. You are liable for all activity under your account.
You must provide accurate, current information when registering and keep it up to date.
We may suspend or terminate accounts that violate these Terms, at our discretion.

4. Free Trial and Subscriptions

New accounts receive a 30-day free trial with full access. No credit card is required to start a trial.
After the trial period, continued use requires a paid subscription at the rates displayed on the pricing page.
Subscriptions are billed monthly or annually in advance. All fees are exclusive of applicable taxes (GST, VAT, etc.).
You may cancel at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial periods.
We reserve the right to change subscription pricing with 30 days' notice. Continued use after notice constitutes acceptance of the new price.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to gain unauthorised access to any part of the Service or its infrastructure.
Upload or transmit malicious code, viruses, or harmful content.
Scrape, copy or redistribute any part of the Service without our written permission.
Use the Service to send spam, unsolicited communications, or engage in fraudulent activity.
Resell or sublicense access to the Service to third parties without our written consent.

6. Your Data

You retain ownership of all data you upload to the Service (“Your Data”). By using the Service, you grant us a limited licence to store, process and display Your Data solely to provide the Service to you. We do not sell Your Data to third parties. You are responsible for ensuring you have the right to upload any data you provide, and for maintaining appropriate backups. We provide reasonable data export tools; upon cancellation, you have 30 days to export your data before it is deleted from our systems.

7. Intellectual Property

The Service, including all software, designs, text and trademarks, is owned by TPT Solutions Ltd and protected by New Zealand and international intellectual property laws. These Terms do not transfer any intellectual property rights to you. You may not copy, modify, distribute or create derivative works based on the Service without our express written permission.

8. Third-Party Integrations

The Service integrates with third-party platforms (e.g. Xero, MYOB, Stripe). Your use of those integrations is subject to the terms and privacy policies of those providers. We are not responsible for the availability, accuracy or conduct of third-party services.

9. Uptime and Support

We aim for high availability but do not guarantee uninterrupted access. We perform maintenance that may occasionally cause brief downtime and will endeavour to schedule this outside peak hours. Support is provided by email at support@electrician.tptsolutions.co.nz. We aim to respond within 2 business days (NZ business days).

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements. Tax calculations, compliance outputs and payroll exports are provided as tools to assist you — you remain responsible for verifying all figures and complying with applicable laws and regulations in your jurisdiction.

11. Limitation of Liability

To the maximum extent permitted by law, TPT Solutions Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability to you in any 12-month period shall not exceed the total subscription fees you paid to us in that period.

Nothing in these Terms limits liability for fraud, death or personal injury caused by our negligence, or any liability that cannot be excluded by law, including under the New Zealand Consumer Guarantees Act 1993 or Fair Trading Act 1986 where they apply.

12. Termination

Either party may terminate the agreement at any time. You may cancel via your account settings. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if we reasonably believe your use of the Service is causing harm to us or others. Upon termination, your right to use the Service ceases immediately, subject to the 30-day data export window described in Section 6.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you by email or via an in-app notice at least 14 days before material changes take effect. Continued use of the Service after that date constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the New Zealand courts, unless otherwise required by mandatory consumer protection laws in your jurisdiction.
